Job Description:
The Advisory Contract and Execution (ACE) Team (also referred to as Global Markets Documentation) is an integral part of TD Securities. ACE is a client-facing team responsible for advisory services across trading desks and clients, supporting capital markets deal origination, and execution of regulatory and legal trading agreement requirements globally. This team maximizes revenue generation, ensures alignment with TD’s risk appetite, and delivers a client-centric experience. This is an opportunity to join a fast-growing team with significant visibility at the senior executive level.
The Associate – Global Markets Documentation is responsible for providing best-of-class service to clients of TD Securities and internal business partners by preparing and negotiating legal documentation with global counterparties for trading products such as derivatives, foreign exchange and commodity products, including ISDA Master Agreements, physical commodity agreements, and related credit support documentation. This also includes trading products such as derivatives, foreign exchange, and fixed income (e.g., repo/securities lending agreements, ISDA Master Agreements, prime brokerage agreements, and related credit support documentation). The role must ensure TD is adequately protected from legal, credit, business, and compliance risks across all trading documentation, including master agreements, amendments, assignments, and other documentation with counterparties. This role also requires building and maintaining strong relationships with stakeholders across the Bank and supporting global deal flow under tight deadlines.
Key Responsibilities
- Manage a diverse portfolio of capital markets clients globally across specific trading products.
- Review, draft, negotiate, and finalize capital markets legal agreements across a range of trading products, ensuring alignment with risk, legal, regulatory and governance frameworks and accelerated time-to-market.
- Communicate capital markets agreement terms to business lines, clients and their legal counsel in a clear and efficient, business-friendly manner.
- Ensure the Bank is adequately protected in all dealings by preparing and negotiating capital markets agreements, including ISDA Master Agreements, related credit support documentation, prime brokerage agreements, master confirmation agreements, energy and metals agreements, repo and securities lending agreements, and other bespoke capital markets agreements.
- Collaborate and coordinate with internal stakeholders, such as Front Office, Legal, Credit, Operations, Funding and Valuations, and Collateral Management during the origination and negotiation process.
- Develop a strong understanding of the Bank’s requirements in areas of global regulatory framework, credit and documentation.
Depth & Scope
- Negotiates a robust portfolio of capital markets regulatory agreements globally, ensuring regulatory compliance across specific trading products and jurisdictions, while aligning with internal risk, legal, regulatory and governance frameworks and ensuring accelerated time to market.
- Reviews, drafts, and finalizes capital markets regulatory agreements across a range of trading products, ensuring alignment with internal standards and regulatory requirements.
- Communicates capital markets regulatory requirements to business lines, clients and their legal counsel in an efficient, business-friendly manner.
- Participates in client meetings and calls to provide regulatory advisory and rule interpretation, leveraging understanding of global derivatives regulations including US Dodd-Frank, EMIR, UK, Canadian, and Singapore frameworks.
- Works with the trading desks to understand client needs and track and prioritize high-value relationships.
- Understands the current state of legislation, regulation, and guidance with respect to OTC derivative transactions globally including Canada, the US, the EU, the UK, Singapore, and other relevant jurisdictions.
- Prepares and thoroughly reviews the necessary capital markets agreement requirements and disclosures to ensure TD Securities' regulatory obligations are met.
- Participates in TD Securities-wide regulatory implementation efforts for new rules and initiatives, ensuring timely and accurate execution across jurisdictions.
- Acts as a key point of contact for Front Office, Legal, Compliance, Credit, on regulatory documentation matters.
- Reviews and analyzes TD Securities’ new and existing client base to ensure regulatory compliance daily.
- Utilizes technology to track and monitor workflow, maintaining and updating databases with required information.
- Produces reports and status updates as required.
- Escalates issues proactively and in a timely manner.
- Provides timely support across multiple time zones including North America, Europe, and Asia.
Education & Experience
- Law degree is required.
- 1+ years of solid legal, trading documentation, capital markets, origination or related experience.
