About the Liability Management Team

J.P. Morgan is the global leader in Liability Management. Sitting within Debt Capital Markets, the Liability Management team is responsible for originating, structuring and executing transactions that enable issuers to restructure or retire debt obligations as business strategies, objectives and market conditions evolve.

The team advises corporate and financial sponsor clients across the ratings spectrum on their debt capital structures in the context of mergers and acquisitions, leveraged buyouts, refinancings, debt-load management, covenant amendments, stressed or distressed situations, and balance-sheet optimization. The team executes these strategies through tender offers, exchange offers, consent solicitations and debt buybacks.

The team also partners with various groups across the investment bank, including capital markets, corporate finance, sales and trading, and mergers and acquisitions, to provide clients with comprehensive solutions.

Position Overview

We are seeking an Analyst to join the Liability Management team. Analysts function as fully integrated team members within a flat structure that provides opportunities for direct client interaction and collaboration with Managing Directors, Executive Directors, Vice Presidents and Associates.

Responsibilities

  • Assist with creating pitch materials.
  • Monitor liability management opportunities for clients.
  • Drive processes related to the origination, structuring and execution of liability management transactions.
  • Interact with multiple parts of the bank, as well as external parties such as issuers, C-suite and Treasury teams, counsel and third-party agents.
  • Review and analyze bond indentures and legal documentation associated with liability management transactions.
  • Build quantitative debt liability management models and maintain key materials, including databases.
  • Develop a deep understanding of the factors driving corporate finance decision-making, including net present value, break-even analysis, maturity profile management, covenant impact, accounting and tax implications, credit rating impact and bondholder composition.
  • Develop specific knowledge of the various liability management tools available to issuers.

Qualifications

  • 0–2 years of experience in capital markets, investment banking or a related field.
  • Strong financial modeling, finance, quantitative and business writing skills.
  • A well-rounded academic background from a top-tier educational institution.
  • Excellent communication skills, with the ability to interact effectively with senior professionals, clients and key stakeholders across other lines of business.
  • Comfort working in a high-pressure environment, with superior organizational skills and the ability to efficiently manage multiple deliverables.
  • Experience with debt products or bond mathematics is a plus.
