Responsibilities
- Work as part of a multi-disciplinary team to deliver transaction-related tax due diligence and acquisition structuring services to buyers and sellers.
- Advise private equity and commercial clients on transaction-related SALT matters pertaining to mergers and acquisitions (M&A).
- Identify and calculate pre-transaction SALT exposures related to income tax, indirect taxes (sales/use tax, gross receipts tax, franchise tax, employment tax), and unclaimed property; identify SALT opportunities related to acquisition or disposition structuring.
- Research tax laws and form a position on the application of such laws to specific facts presented during a transaction; stay current on state and local tax legislative, judicial, and administrative developments.
- Identify and deliver/support post-transaction integration opportunities and develop new client relationships with newly acquired business entities.
- Draft due diligence reports and/or memorandums capturing areas of risk and addressing the application of law to facts.
- Read and draft comments on transaction-related documents (e.g., purchase agreements, acquisition structure deck, 100 Day Plan) based on information obtained during tax due diligence and other transaction-related services.
- Build capabilities in key technologies enabling tax professionals for client service delivery, such as Artificial Intelligence (AI), Alteryx, and Power BI.
Qualifications
Required Qualifications
- Must be enrolled in an accredited law school pursuing a JD or equivalent program.
- Upon completion of this internship, candidates must have additional academic credits to complete before obtaining their degree and/or CPA eligibility requirements.
- Must reside within a reasonably commutable distance to the office and be able to travel to reasonably commutable work locations using personal vehicle or public transportation.
- Must be authorized to work in the U.S. without the need for employment-based visa sponsorship now or in the future. (KPMG LLP will not sponsor applicants for U.S. work visa status for this opportunity).
Preferred Qualifications and Skills
- Preferred GPA of 3.0 or above.
- Coursework or minor in information systems, software engineering, computer science, or data and analytics is preferred.
- Strong technical aptitude, business acumen, critical thinking, and agility skills. Demonstrated ability to excel and drive strategic outcomes, coupled with a professional demeanor and a collaborative leadership approach.
- Demonstrated quality service mindset, ability to learn and navigate technologies such as AI, Alteryx, and Power BI, and proficiency in MS Office Applications (Excel, PowerPoint, Word, Outlook) to apply emerging technologies to enhance tax processes and insights.
- Excellent communication, time management, and leadership skills; feedback oriented and resourceful in delivering high-quality work.
