Houlihan Lokey’s Capital Solutions Group comprises approximately 200 professionals globally and offers tailored financing alternatives and strategic financial advice. The team has deep senior-level relationships across the capital markets and a long track record of raising capital across varying market conditions. Equity Private Placements Practice
The Equity Private Placements practice is a dedicated team within the Equity Capital Solutions vertical of the broader Capital Solutions Group. The team originates, structures, and executes private financings and works closely with sponsor-backed, family-owned, public, and privately-owned clients, as well as with Houlihan Lokey’s industry coverage / M&A and financial restructuring teams.
The team executes a variety of private financing transactions, including growth equity, structured equity, Private Investments in Public Equities (PIPEs), co-invest equity, and other minority equity placements. Use of proceeds may include growth capital, acquisition financings, refinancings, dividend recapitalizations, leveraged buyouts (LBOs), and special situations.
In 2025, Houlihan Lokey completed more equity private placements than any other non-balance sheet bank. The Equity Private Placements team is seeking to recruit an Analyst to join the team in New York, New York. The Analyst will support Associates and senior bankers with day-to-day aspects of equity private placement transactions and marketing efforts, and perform broader administrative tasks to help facilitate the efficient running of the team and the broader Equity Capital Solutions Group.
Equity Private Placements transactions involve stages similar to M&A deals, including creating marketing materials (CIMs, three-statement financial models), leading counterparty diligence, coordinating management meetings, and structuring / negotiating the financing to close. Financial Analysts gain experience in (i) technical proficiency in cash flow and three-statement modeling, (ii) organizational skills and experience running investor outreach processes, and (iii) a strong understanding of capital structure and private capital markets.
What You Will Do
- Work side-by-side with seasoned capital raising professionals and gain exposure to the considerations that impact private placement transactions.
- Assist with evaluating and structuring customized financing alternatives, including modeling, preparing marketing materials, and preparing structuring analysis.
- Interact with a range of investors, including venture capital funds, growth equity funds, private equity funds, hybrid capital funds, co-investment funds, insurance companies, hedge funds, asset managers, family offices, and growth / venture debt providers.
- Build hands-on transaction experience by serving as an integral part of deal teams from initial pitch through closing.
- Develop corporate finance and valuation skills relevant to raising capital, while building detailed understanding of developments in both private and public capital markets.
- Interact with a broad range of businesses across industries at different points in their corporate lifecycles with unique capital needs.
- Support the Equity Capital Solutions Group and other sector teams across Houlihan Lokey to ensure close engagement between the Equity Private Placements Practice and the broader firm.
- Help preserve and foster a strong, positive culture, including mentoring and training junior professionals.

Qualifications
The ideal candidate would possess the following qualities and background:
- One year of relevant work experience in similar roles within equity or debt capital markets, investment banking, and/or private equity
- Undergraduate degree
- Top academic performer and a quick learner capable of performing in an unstructured environment
- Proven accounting, finance, three-statement financial modeling, and analytical abilities
- Excellent verbal and written communication skills
- Demonstrated leadership qualities that are team-oriented and collegial, including the ability to work cooperatively and constructively with staff at all levels
- Very strong work ethic and careful attention to detail
- Strong organizational skills and proven self-starter
- Series 7, 63, and 79 securities licenses, or ability to quickly obtain
Compensation and Benefits
Houlihan Lokey is committed to providing competitive total compensation, which may include discretionary incentive compensation. The firm’s good faith and reasonable estimate of the possible salary range for this role at the time of posting is $120,000–$130,000.
Actual salary at the time of hire may vary and may be above or below the range based on factors including relevant qualifications, skills, experience, and the location of the position.
