Position Summary
The Transactional Liability Underwriter Associate is responsible for building relationships with stakeholders, underwriting successful M&A deal execution, and communicating effectively with brokers and clients. The role manages files for underwriters and prepares policy wording, non-binding indication letters, insurance policies, and binder agreements to ensure seamless transaction progression. The associate compiles data for portfolio reporting, reviews critical transaction documents, and assists with risk analysis.

Job Responsibilities
- Supports underwriters in managing files and reviewing documents; assists with quoting and the preparation of policy wording, non-binding indication letters, and binder agreements.
- Compiles data and reporting on the transactional liability portfolio, generating insights for risk management and strategic decision-making in line with the M&A underwriting strategy.
- Reviews and drafts deal transaction documents, ensuring accuracy and alignment with underwriting objectives for representations and warranties insurance, tax liability insurance, and contingent liability insurance products.
- Collects relevant underwriting information from sources and assesses factors such as business sector, deal structure, jurisdiction, and indemnification obligations to support decision-making.
- Fosters relationships with insurance brokers, lawyers, private equity firms, M&A deal principals, and internal colleagues to support successful deal execution.
- Communicates policy details and updates and resolves policy issues with brokers, clients, and internal stakeholders to build trust and loyalty.
- Liaises with internal and external legal counsel as needed to facilitate smooth, transparent communication and efficient resolution of legal matters within transactions.
- Utilizes comprehensive training programs to develop deep knowledge of transactional liability underwriting principles, best practices, and industry trends.
- Participates in process improvement initiatives, brainstorms innovative solutions, and contributes to shaping the future of the transactional liability underwriting team by leveraging understanding of warranties & indemnity, tax, and contingent insurance.
Work Experience and Education
- Bachelor’s degree in Business Administration, Finance, or Risk Management required. Related discipline or commensurate work experience considered.
- 1+ year of work experience in Financial or M&A Underwriting.
Licenses & Certifications
- Prescribed: Minimum requirements for state P&C and/or surplus line licenses.
- Preferred: Certified Merger and Acquisition Advisor (CM&AA), Associate in Risk Management (ARM).

Target Salary Range
The target salary range for this position is $81,840.00 - $102,300.00 annually.
