KPMG is currently seeking a Tax Associate to join our Mergers & Acquisitions Tax practice.

## Responsibilities

    
- Structure the tax aspects of domestic and multinational private equity and strategic mergers, acquisitions, joint ventures, dispositions, and IPOs, including drafting tax opinions, memos, structure decks, and Excel models that illustrate the tax benefits of alternative structures.
    
- Perform tax due diligence to identify tax exposures and opportunities.
    
- Provide sell-side tax advisory services, advising sellers on the most tax-efficient transaction structure and modeling the costs and benefits of alternative structures.
    
- Deliver bankruptcy and restructuring tax advisory services, including providing tax advice on debt and equity restructurings (inside and outside of bankruptcy) with the goal of preserving the value of a company's tax attributes.
    
- Compute tax attributes (earnings and profits, tax basis in the stock of consolidated subsidiaries, and limitations under Section 382).
    
- Prepare and review complex tax models illustrating multinational entities' projected tax rates and cash tax expense.
    
- Build capabilities in key technologies that enable tax professionals for client service delivery, such as Artificial Intelligence (AI), Alteryx, and Power BI.

## Qualifications and Requirements

### Education and Professional Requirements

    
- Must be pursuing or have obtained by the start date, or completed within the past 12 months, one of the following degrees/majors from an accredited college or university: Bachelor's and/or Master's degree in accounting, finance, taxation, mathematics, economics, information technology, data and analytics, engineering (financial, industrial, or systems), or equivalent program.
    
- **Preferred:** Degrees and/or areas of study in Accounting and Taxation.
    
- Must be pursuing the state-specific education requirements to become a licensed Certified Public Accountant (CPA) in the principal place of business for this position, with completion of required academic credits prior to the start date.
    
- **Preferred:** GPA of 3.0 or above.
    
- **Preferred:** Coursework or a minor in information systems, software engineering, computer science, or data and analytics.

### Skills and Experience

    
- Knowledge of a broad range of corporate, partnership, and international tax law, with an interest in mergers, acquisitions, and other transactional work.
    
- Strong technical acumen, critical thinking, and agility skills, with a demonstrated ability to drive strategic outcomes, coupled with a professional demeanor and a collaborative leadership approach in a dynamic environment.
    
- Demonstrated quality service mindset, strong technical aptitude, ability to learn and navigate technologies such as AI, Alteryx, and Power BI, MS Office Applications (including Excel, PowerPoint, Word, and Outlook), and apply emerging technologies to enhance tax processes and insights.
    
- Excellent communication, time management, and leadership skills; must be feedback-oriented and resourceful in delivering high-quality work.
    
- Must reside within a reasonably commutable distance to the office and be able to travel to reasonably commutable work locations using personal transportation or public transportation.
    
- Must be able to travel and/or work on-site at client premises as needed, sometimes with short notice.

**Compensation and Benefits:**

Any offered salary is determined based on factors such as applicant's skills, job responsibilities, prior relevant experience, degrees, certifications, and market considerations. KPMG proudly offers a comprehensive, competitive benefits package, including medical and dental plans, vision coverage, disability and life insurance, 401(k) plans, and a suite of personal well-being benefits. Personal Time Off and scheduled holidays are also provided based on role and service. California Salary Range: $80,000 - $100,000.
